VanMoof S6 & S6 Open pre-order terms and conditions

These VanMoof S6 & S6 Open Pre-order Terms and Conditions (hereinafter: the "Pre-order Terms and Conditions") apply to all Agreements for the purchase by way of pre-order of the VanMoof S6 & S6 Open (electronic) micromobility vehicles (hereinafter: the "S6 Products") and to all legal acts relating to the formation thereof.

The VanMoof General Terms and Conditions of Sale – Business to Consumer (hereinafter: the "General Terms and Conditions") also apply to the purchase (by way of pre-order) and use of the S6 Products. The definitions of article 1 of the General Terms and Conditions are used in these Pre-order Terms and Conditions as well. In the event of inconsistency between these Pre-order Terms and Conditions and the General Terms and Conditions, these Pre-order Terms and Conditions prevail.

The S6 Products are new VanMoof-Products. Consumers have the opportunity to pre-order S6 Products by placing a Purchase Order through the Webshop.

Upon placing the Purchase Order for the pre-order of S6 Products, the Consumer is obligated to make a down payment of € 150,00 per ordered S6 Product to reserve this S6 Product. If the Consumer pre-orders multiple S6 Products, the Consumer also has to make multiple down payments.

After the down payment is made and the Purchase Order is confirmed by VanMoof in an Order Confirmation, VanMoof will reserve a place for the Consumer in the pre-order queue (hereinafter: the "Queue") on a 'first come, first serve'-basis. This means that the first Consumer that places a pre-order will get the first place in the Queue and so forth.

Upon the conclusion of the Agreement for the pre-order of S6 Products, VanMoof will provide the Consumer with an initial indicated delivery time for the S6 Product(s). This initial indicated delivery time is an indication only and can be subject to change.

When this is reasonably possible and practicable for VanMoof, ahead of the delivery VanMoof will provide the Consumer with a more specific estimation of the expected delivery date (hereinafter: the "Expected Delivery Date"). This Expected Delivery Date is an indication only and can be subject to change.

In order to receive the pre-ordered S6 Product, the Consumer is obligated to pay the agreed purchase price for the S6 Product in full (with deduction of the down payment) ahead of the delivery. Approximately 35 (thirty-five) calendar days before the Expected Delivery Date, VanMoof will send the Consumer a payment request for the payment of the (remainder of the) full purchase price within a payment term of 7 (seven) calendar days (and thus ultimately by approximately 28 (twenty-eight) calendar days before the Expected Delivery Date). The Consumer is obligated to make this payment.

VanMoof will send the payment requests as mentioned in article 2.6 by order of the Queue. This means that the higher the Consumer is in the Queue, the sooner he will receive the payment request. When the (first) S6 Products are ready to be delivered, the deliveries will be made by order of the receipt by VanMoof of the full payments. This means that VanMoof will deliver the first S6 Product to the first Consumer that makes the full payment and so forth. VanMoof cannot guarantee that the actual receipt of S6 Products will also fully take place in that order.

There will be a separate Queue for both the S6 and for the S6 Open. If only one of the S6 Products is available and ready for delivery at a certain point in time, VanMoof will continue delivering that S6 Product.

The S6 Products come in different colors. The Consumer can pre-order a specific color.

VanMoof Partners also have the opportunity to offer this opportunity to pre-order S6 Products to their customers. The customers of VanMoof Partners will be included by VanMoof in the same Queue.

If the Consumer does not fulfil its obligation to pay the full purchase price within 7 (seven) calendar days, the Consumer will lose his place in the Queue and the Expected Delivery Date will shift. The Consumer will then receive another request to make the payment within 7 (seven) calendar days to be added back to (the back of) the Queue. If the Consumer fails to make the payment again, VanMoof will be entitled to (partly) dissolve (in Dutch: "ontbinden") the Agreement. If VanMoof chooses to dissolve the Agreement, VanMoof no longer has an obligation to deliver the S6 Product(s) to the Consumer and will pay back the down payment made by the Consumer.

During the period that VanMoof offers the opportunity to pre-order S6 Products, VanMoof has the right to require full payment in advance for the pre-order of S6 Products, either next to the option of the down payment upon placing the Purchase Order and full payment ahead of the delivery or instead of it. This would not influence existing Agreements for the pre-order of S6 Products.

Each Consumer that pre-orders an S6 Product before 31 July 2025 is entitled to one year of Theft Proof Service for the S6 Product free of charge, provided that timely payment of the full purchase price is made in accordance with article 2.6. Instead of one year of Theft Proof Service free of charge, the Consumer may also choose two or three years of Theft Proof Service at a discount of € 150,00. If the Consumer chooses three years of Theft Proof Service, after two years, the Consumer will have the right to terminate the Theft Proof Service at one months’ notice.

The term for the Theft Proof Service, as specified in article 3.1, will start from the moment the S6 Product is received by the Consumer. The Consumer will have to activate the Theft Proof Service through VanMoof's website with the voucher the Consumer receives by VanMoof.

The Terms and Conditions for the Theft Proof Service, as included in Annex 3 to the General Terms and Conditions, apply to the Theft Proof Service for the pre-ordered S6 Products.

VanMoof may, at its discretion, extend the deadline before which Consumers have to pre-order the S6 Product to be entitled to the Theft Proof Service.

VanMoof reserves the right to modify these Pre-order Terms and Conditions unilaterally and/or to introduce additional benefits free of charge for certain Consumers that have pre-ordered S6 Products and fully complied with all their (payment) obligations under the Agreement. These benefits may include Parts or accessories that are added to the Agreement free of charge (to a limited amount of Consumers). By concluding an Agreement for the pre-order of S6 Products, the Consumer agrees in advance to potentially receive such free benefits. For the avoidance of doubt, this article imposes no obligations on VanMoof.
